1. Acceptance of Terms

Welcome to Gixtra. These Terms of Service ("Terms") govern your access to and use of the Gixtra website, products, and services (the "Service") operated by Matthias Orgler ("we", "us", or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

2. Description of Service

We provide a tool to organize information and musician participation around live music concerts. Gixtra helps coordinating band members, managing gig calendars, and organizing logistics around playing concerts.

We reserve the right to modify, suspend, or discontinue the Service at any time without notice.

3. User Accounts

To access certain features of the Service, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and accept all risks of unauthorized access
  • Notify us immediately if you discover any security breach

Age Requirement: You must be at least 13 years old to use this Service.

Account Sharing: You may not share your account credentials with others or allow others to access your account.

4. User Content

Our Service may allow you to post, link, store, share, and otherwise make available certain information, text, graphics, or other material ("User Content").

License: You retain ownership of your User Content, but by posting it, you grant us a perpetual, non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, and distribute such content.

5. Prohibited Uses

You agree not to use the Service to:

  • Engage in any illegal activities
  • Post harmful or dangerous content
  • Send spam or unsolicited communications
  • Infringe on intellectual property rights
  • Post hate speech or discriminatory content
  • Harass, bully, or threaten others
  • Post explicit or adult content
  • Post violent content or threats
  • Distribute malware or viruses
  • Use automated systems to scrape data

Violation of these rules may result in immediate termination of your account.

6. Payment Terms

Subscription: Access to the Service requires a paid subscription. Fees are charged in EUR.

Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.

Free Trial: We offer a 14-day free trial for new users. You will not be charged during the trial period.

Refund Policy: You may request a full refund within 30 days of purchase.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Matthias Orgler and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Matthias Orgler.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

Matthias Orgler does not warrant that the Service will function uninterrupted, secure, or available at any particular time or location, or that any errors or defects will be corrected.

9. Limitation of Liability

IN NO EVENT SHALL MATTHIAS ORGLER, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

10. Indemnification

You agree to defend, indemnify, and hold harmless Matthias Orgler and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

11. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of Germany, without regard to its conflict of law provisions.

Mediation: Before initiating any legal action, you agree to attempt to resolve disputes through mediation.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
